Terms of Service
Effective date: October 27, 2025
Please read these Terms of Service (“Terms”) carefully before you use or access the Service.
1. Definitions
“Corporate Subscriber” means a legal entity or an individual entrepreneur (no separate legal entity formed) who has entered into a contract with FitXLink granting its eligible users access to the Service.
“User” means (i) an employee of a Corporate Subscriber, or (ii) a first-degree family member of such an employee, whose name the Corporate Subscriber has provided to FitXLink for access, or (iii) an adult (18+) student of a higher education institution.
“Session” means any fitness or wellness activity that a User participates in through a selected facility (a “Gym/Studio”) during a calendar day.
“QR Code” means a unique digital code generated by FitXLink (or its platform) that a User scans to access a Session.
“Personal Account” or “Account” means the User’s profile in FitXLink’s mobile application (“App”) that holds registration details and grants Session access.
“Mobile Application” means the iOS and Android apps operated by FitXLink which enable Users to browse, select and access participating fitness facilities and related services.
“Scheduled Event” means a class, service or activity at a Gym/Studio requiring booking in advance (for example: yoga class, pilates class, tournament, etc.).
“Gym/Studio” means a sports or wellness facility operated by a commercial entity or individual entrepreneur that provides fitness and related services to Users.
“Fitness Services” means workouts, training, classes or other healthy-lifestyle activities provided by a Gym/Studio and available to Users under their subscription without extra charge (unless stated otherwise).
“Standard Subscription”, “Plus Subscription”, and “Premium Subscription” mean the membership tiers listed in the App:
Standard Subscription grants access to the facilities included in the Standard and Student packages.
Plus Subscription grants access to the facilities listed under Plus, Standard and Student packages.
Premium Subscription grants access to all facilities included in Premium, Plus, Standard and Student packages.
“Student Subscription” means a subscription plan for adult students (18+) enrolled at an institution of higher education, covering the facilities included in the Student package.
“Student ID” means an official document issued by a recognized educational institution confirming the User’s eligible student status.
“Qualified Email Address” means an email address from the domain of the Corporate Subscriber, as specified in the subscriber agreement, used to confirm registration.
“Booking” means the process by which a User (with Plus or Premium Subscription) reserves a time slot for a Scheduled Event or Service at a Gym/Studio via the App.
2. Services
FitXLink provides the following services:
Access to a network of Gyms/Studios listed in the App for eligible Users under their subscription tier.
Details in the App of which facilities, activities and services are included under each subscription level.
Access to digital content via the App including workout plans, meal plans, fitness tracking features and other wellness-related tools.
3. Disclaimer
To access the services, a User must either (i) be covered by a Corporate Subscriber agreement with FitXLink, or (ii) be an adult student at a higher education institution.
FitXLink functions solely as a platform aggregator enabling access to Gym/Studio services under one subscription. FitXLink is not liable for the quality, safety or performance of the Fitness Services provided by any Gym/Studio.
If a Corporate Subscriber is also a Gym/Studio under a separate agreement with FitXLink, the Users cannot use the Gym/Studio services under that separate agreement.
Users must notify FitXLink in writing if they leave their employment with the Corporate Subscriber or lose student eligibility.
4. Changes to Terms
FitXLink may revise these Terms and/or related App content at any time. FitXLink will notify the User of changes at least five (5) calendar days before they become effective. Continued use of the App or Website after changes constitutes acceptance of the new Terms.
Users acknowledge that certain Fitness Services may be excluded from their subscription and/or require additional payment directly to the Gym/Studio. Examples include:
a) Personal training or one-on-one coaching sessions,
b) Specialty classes (e.g., swimming, boxing) marked as paid extras,
c) Food, beverages, supplements sold on-site at the facility.
5. Registration & Account Use
Users employed by Corporate Subscribers must register using their Qualified Email Address supplied by the Corporate Subscriber.
Student Users must provide their Student ID or other proof of enrollment during registration.
In registering in the App, a User must provide accurate data: (i) last name, (ii) first name, (iii) email address, (iv) phone number, (v) Student ID details (if applicable). The User is responsible for correctness of this information.
By providing personal data, the User consents to FitXLink processing their data in compliance with applicable privacy laws. Please review the Privacy Policy for further details.
Upon successful registration, the User receives an activation code via the provided mobile number. The User must enter this code to activate the Account and gain access to the Service appropriate to the chosen subscription.
To participate in a Session:
Student Users: scan the QR Code in the App at a participating facility, present ID and Student confirmation.
Other Users: present ID, use Account in the App, and scan QR Code at the facility.
Users may enter a participating facility up to two (2) times per day under their subscription, provided the interval between entries is at least five (5) hours.
Access for a third entry in a day or other circumstances outside the subscription conditions is not covered — the User must pay the facility directly for such additional access.
If a facility or part of it is temporarily unavailable (e.g., holiday, maintenance), FitXLink will post notice in the App as soon as reasonably possible. It is the User’s responsibility to check for availability.
The User is responsible for any action in their Account and must not share login credentials or grant third-party access. FitXLink may take preventive or remedial action for misuse.
If the User suspects unauthorized use of their Account, they must immediately notify FitXLink via support channels.
6. Liability
FitXLink is not liable for any loss, injury, property damage, illness or theft experienced by the User during or arising from use of any facility or fitness service. It is the User’s responsibility to consult a qualified healthcare professional before engaging in any exercise, program or service and to assess their own fitness and health condition.
7. Subscription Terms & Fees
Users must pay the fee corresponding to their chosen subscription level (Standard, Plus, Premium, Student) through the App or Website.
All payments are made through approved third-party payment processors. FitXLink does not retain full card details — only payment date and partial card digits are collected.
Unless cancelled through the App, subscription payments are automatically renewed (monthly or annually) via the User’s bank account.
If the subscription is paid or arranged via a Corporate Subscriber, renewal terms are governed by the agreement between FitXLink and the Corporate Subscriber.
Installment Payments (for annual subscriptions)
Annual subscriptions may be paid by installments (e.g., over 3, 6, or 9 months) where available for Standard and Plus annual plans.
The total subscription price is deducted from the User’s account and then divided into equal monthly payments via the chosen bank’s installment card.
The public offer (price list) in the App/Website determines the annual subscription rate.
These Terms do not apply to subscription payments (if any) fully sponsored by a Corporate Subscriber.
8. Booking Rules (for Plus & Premium)
To manage capacity, Users on Plus or Premium must book their time when attending certain facilities.
Bookings are made by selecting date/time in the App, providing name, surname, email and phone number.
Booking must be made at least 24 hours in advance. Reservation slots are hourly (e.g., 10:00, 19:00).
If a User fails to attend a booked session, they receive a warning. After two warnings, a third no-show will suspend booking privileges for the remainder of that month.
Users may cancel one booking per day without penalty before the session time.
9. Family Member Access
Up to five (5) adult (18+) first-degree family members (siblings, parents, children) of a User may access the Service if permitted by the Corporate Subscriber agreement. The User must provide qualifying proof. Student Users are not eligible for this family benefit.
10. Intellectual Property & Use of Content
All materials, systems, and content provided by FitXLink (text, graphics, software, data, images) are the property of FitXLink or its licensors and are protected by applicable laws.
FitXLink grants the User a personal, non-exclusive, revocable, non-transferable licence to access the Service for personal, non-commercial use only.
The User must not reverse engineer, reproduce, sell, adapt, distribute or commercially exploit any part of the Service or Content unless expressly permitted.
11. Third-Party Providers
Some services may be delivered by third parties (Gyms/Studios, trainers, apps, payment gateways). FitXLink acts as an intermediary only.
FitXLink is not responsible for the quality, legality or performance of third-party services. Users agree to use third-party services in accordance with their separate terms.
FitXLink is not liable for any indirect, incidental or consequential damages arising from use of the Service, third-party services or facility services.
12. Termination of Account
Users agree not to engage in actions that:
a) breach these Terms,
b) violate facility rules or User guidelines,
c) compromise security of Accounts or systems, e.g., sharing credentials, hacking, etc.,
d) spam or overload the Service infrastructure,
e) scrape data or content from the platform without permission,
f) copy or store Content protected by FitXLink,
g) attempt to reverse engineer or exploit the Service or its underlying technology.
FitXLink may immediately suspend or terminate a User’s Account if:
It finds a breach of these Terms,
It receives three (3) valid complaints from a Gym/Studio or other Users,
The User registered under false name,
The User is no longer employed by the Corporate Subscriber or student‐status ends,
The agreement between the Corporate Subscriber and FitXLink ends,
The User fails to notify FitXLink of leaving the employer or student status ends.
Valid complaints include: physical misconduct, harassment, entering a facility with infectious disease known to the User, repeated violation of facility sanitation/hygiene or safety rules, criminal or administrative offenses committed while using the Service.
If termination is due to the User’s misconduct, refund eligibility is described as follows:
For subscriptions with less than six (6) months’ remaining term: no refund.
If more than six months remain: the user’s payment is divided into 12 months, unused months multiplied by monthly price; 50% penalty + 20% breach penalty apply to the calculated amount.
13. Refund & Cancellation
Changes or cancellation of a subscription can only occur after the current term expires.
All payments are final and subscription packages cannot be frozen regardless of User usage.
A User may cancel automatic renewal through the App or by writing to support.
Refunds will not be given if:
The User has already used the subscription services, or
More than fourteen (14) calendar days have passed since payment.
For annual subscriptions:
No refunds if less than six (6) months remain.
If more than six months remain: calculation as above (see termination section).
If a Corporate Subscriber sponsors the subscription, refund terms are subject to the agreement between the Corporate Subscriber and FitXLink.
14. Health & Safety
FitXLink does not provide medical, health-care or personal training services. Content provided via the App is for informational and educational purposes only.
Users should consult a qualified healthcare professional before undertaking any exercise, diet or training program. FitXLink is not responsible for accuracy, reliability or suitability of any content, or for any adverse health outcome resulting from use of the Service.
Users must adhere to all on-site rules and safety instructions at participating facilities.
15. Personal Data & Privacy
FitXLink implements reasonable security measures to protect personal data in accordance with applicable law.
Users consent to their personal and behavioural data being used for marketing, analytics and service improvement purposes.
Personal data will not be sold or transferred to third parties for unrelated purposes.
Please review the Privacy Policy for details on how FitXLink collects, stores and uses data.
16. Confidentiality
The existence, terms and any related written or oral information exchanged under this Agreement are confidential.
Neither party may disclose such confidential information without the other party’s written consent, except where required by law, regulation or judicial order, or to its own investors, legal counsel or financial advisors under similar confidentiality obligations.
This confidentiality clause survives termination of the Agreement.
17. Force Majeure
Neither party will be held liable for delay or failure to perform its obligations under these Terms if caused by events beyond its control (“Force Majeure”), such as war, revolution, epidemic, quarantine, natural disaster, or significant legal/regulatory change.
The party affected must promptly notify the other in writing, use reasonable efforts to remove the cause and resume performance.
Personal issues like illness or family emergencies do not qualify as Force Majeure.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas (or the United States, as applicable).
Any dispute arising from or relating to these Terms shall be first addressed by mutual agreement between the parties. If unresolved, disputes may be resolved by the courts in the appropriate jurisdiction in Texas.
19. Miscellaneous
These Terms constitute the entire agreement between you and FitXLink regarding their subject matter and supersede any prior oral or written communications.
If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent required and the remainder of the Terms will continue in full force.
